Terms of Service

1. Agreement

These Terms and Conditions ("Agreement") govern your access to and use of the software-as-a-service solution provided by LumiVerse d.o.o. ("LumiFlows", "we", "us", or "our") to you and the organization you represent (together, "Customer", "you", or "your"). By accessing or using any of LumiFlows' services, you agree to be bound by all the terms and conditions of this Agreement. This Agreement becomes effective on the date you accept it via LumiFlows' online registration process ("Effective Date").

2. Service Provision

2.1 Provision of the Service

Subject to all terms of this Agreement, LumiFlows grants you a non-sublicensable, non-transferrable (except as authorized herein), nonexclusive, limited right to access and use our hosted services (the "Service") for the purpose of building and managing artificial intelligence workflows. All use of the Service must strictly adhere to LumiFlows' applicable usage documentation and any other instructions we provide or make available.

2.2 General Restrictions

As a Customer, you agree not to:

• Rent, lease, copy, provide access to, or sublicense the Service to any third party.
• Use the Service to develop products or services that compete with the Service.
• Use the Service for the direct benefit of any third party without our express written permission.
• Reverse engineer, decompile, disassemble, or attempt to obtain the source code of any part of the Service.
• Modify or create derivative works based on the Service or any materials we provide.
• Remove or obscure any proprietary or other notices contained in the Service or documentation.
• Use the Service in any manner that violates applicable laws or regulations.
• Attempt to gain unauthorized access to the Service or its related systems or networks.

2.3 Feedback

You grant LumiFlows a perpetual, irrevocable, royalty-free, worldwide, sublicensable right to use, display, reproduce, and distribute any feedback you provide regarding the Service. "Feedback" includes all suggestions, ideas, bug reports, recommendations, comments, or opinions you provide to LumiFlows about the Service or our business.

2.4 Third-Party Applications

You may choose to use Third-Party Applications with the Service, subject to separate agreements with the providers of those applications. LumiFlows is not responsible for any Third-Party Applications you use, and we disclaim all liability for damages or issues arising from your use of such applications.

2.5 Support

LumiFlows will provide support for the Service as we deem appropriate. This may include documentation, email support, or other forms of assistance. The level and availability of support may vary based on your subscription plan.

3. Data

3.1 Customer Data

"Customer Data" refers to any data, content, or information you provide to us or that is collected by the Service in connection with your use of the Service. You retain all rights, title, and interest in and to your Customer Data.

3.2 License of Data

You grant LumiFlows a non-exclusive, worldwide, royalty-free right to use, process, store, and transmit Customer Data as necessary to provide and maintain the Service and to improve our products and services. You represent and warrant that you have all necessary rights to provide the Customer Data and that our use of such data as contemplated herein will not violate any laws or infringe upon any third party rights.

3.3 Data Collection and Usage

LumiFlows may collect and analyze data regarding the usage of Service components, features, and workflows to improve the Service, develop new products, and enhance user experience. This data will be collected and used in aggregate and de-identified form.

3.4 Data Security

We implement reasonable security measures to protect Customer Data from unauthorized access, disclosure, alteration, and destruction. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

4. Intellectual Property

No intellectual property rights are assigned or transferred by either party under this Agreement. LumiFlows retains all right, title, and interest in and to the Service, including all related intellectual property rights. This Agreement does not grant you any rights to use LumiFlows' trademarks or other brand elements except as expressly permitted in writing.

5. Term and Termination

This Agreement will remain in effect until terminated by either party. Either party may terminate this Agreement at any time upon 30 days' written notice. Upon termination, you must cease all use of the Service, and LumiFlows may delete or disable your account and access to the Service.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LUMIFLOWS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIFLOWS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

8. Changes to the Agreement

We reserve the right to modify this Agreement at any time. We will notify you of any material changes by posting the new Agreement on our website or through other communications. Your continued use of the Service after such changes constitutes your acceptance of the new Agreement.
